These Provider Terms & Conditions (the "Agreement") govern the relationship between Exploreze, a Moroccan platform operator headquartered in Agadir ("Exploreze", "we", "us"), and any legal or natural person offering tourism, mobility, retail, medical, delivery, events, accommodation or related services (the "Provider", "you") through the Exploreze platform (the "Platform"). By submitting an application, publishing a listing or accepting a booking, the Provider unconditionally accepts this Agreement.
1. Object and scope
Exploreze operates an online intermediation service that promotes and distributes the Provider's services to Moroccan and international travellers. Exploreze does not, in any form, become a party to the underlying service contract concluded between the Provider and the end customer. This Agreement defines the rules of publication, distribution, quality, payment and liability applicable to that intermediation.
2. Eligibility and onboarding
The Provider warrants that it is duly registered under Moroccan law or the law of its country of establishment, that it holds all licences, professional cards, tourism authorisations, insurance policies, vehicle registrations, health permits or other authorisations required to lawfully perform the services it lists, and that all documents submitted during onboarding are authentic, current and non-expired. The Provider undertakes to notify Exploreze without delay of any change affecting its legal or professional status.
3. Listings and accuracy of information
The Provider is solely responsible for the content of its listings, including descriptions, photographs, prices, inclusions, exclusions, itineraries, meeting points, languages, duration, availability, safety information and cancellation conditions. All information must be accurate, up to date, non-misleading and compliant with Moroccan consumer-protection law and applicable international standards. Exploreze may edit, suspend or remove any listing that is inaccurate, unlawful, unsafe or contrary to the Platform's editorial standards.
4. Service quality and safety
The Provider shall perform the services with professional skill and care, in strict compliance with applicable safety, hygiene, labour and environmental regulations. The Provider shall use qualified staff, maintain equipment and vehicles in good working order, and adopt reasonable measures to protect customers, third parties, and the cultural and natural heritage of Morocco. Any incident, accident or complaint must be reported to Exploreze within twenty-four (24) hours.
5. Pricing, fees and payments
Prices displayed on the Platform are those provided by the Provider, inclusive of all taxes lawfully applicable in Morocco. Exploreze charges a platform service fee agreed during onboarding for each confirmed booking. The specific fee structure applicable to the Provider is set out in the Provider's onboarding documentation and remains confidential. Payouts are made in MAD to the bank account nominated by the Provider, on the schedule agreed during onboarding, net of the platform service fee and of any refunds or chargebacks legitimately due to the customer.
6. Cancellations, no-shows and refunds
The Provider defines its own cancellation policy, which must be reasonable, clearly communicated on each listing and consistent with Moroccan consumer law. The Provider shall honour that policy without exception and process any refund due to the customer in the shortest possible time. In the event of a customer no-show, the Provider shall document the situation and inform Exploreze the same day. Exploreze may, when required by law or by manifest fairness, refund a customer directly and offset the corresponding amount against future payouts.
7. Exclusivity, disintermediation and anti-circumvention
The Provider undertakes not to circumvent the Platform in respect of customers introduced through Exploreze, including by soliciting direct off-platform bookings, offering off-platform discounts to divert future reservations, or sharing contact details for the purpose of avoiding the platform service fee. Repeated disintermediation constitutes a material breach of this Agreement and may lead to suspension, delisting and recovery of the fees that would otherwise have been due.
8. Intellectual property and content licence
The Provider retains ownership of the content it uploads (photographs, descriptions, logos). The Provider grants Exploreze a worldwide, royalty-free, sub-licensable licence to reproduce, adapt, translate, display and distribute that content for the purposes of operating, promoting and marketing the Platform, for the duration of this Agreement and for a reasonable archival period thereafter. The Provider warrants that it holds all rights necessary to grant this licence, including any rights of persons appearing in the content.
9. Data protection and confidentiality
Each party shall comply with Moroccan Law 09-08 on the protection of personal data, and, where applicable to its processing activities, with the EU General Data Protection Regulation (GDPR) and other equivalent international standards. Customer personal data transmitted by Exploreze to the Provider may only be used to perform the reserved service, and must be kept confidential, secured, and deleted or anonymised once no longer required. The Provider shall not, under any circumstances, use customer data for direct marketing, resale or profiling.
10. Insurance, liability and indemnification
The Provider shall maintain, at its own cost and for the entire duration of the Agreement, professional civil liability insurance adequate to cover the risks associated with its services, and, where applicable, vehicle, transport, medical, event or premises insurance. The Provider is solely liable towards the customer and any third party for the performance of the services and for any damage, injury or loss arising therefrom. The Provider shall defend, indemnify and hold Exploreze harmless against any claim, proceeding, penalty or cost (including reasonable legal fees) arising out of the Provider's acts, omissions, breach of this Agreement or breach of applicable law. Exploreze's own liability towards the Provider, for any cause whatsoever, is limited to the platform service fees actually received by Exploreze from the Provider during the six (6) months preceding the event giving rise to the claim, save in the case of gross negligence or wilful misconduct or where such limitation is prohibited by law.
11. Suspension and termination
Either party may terminate this Agreement at any time upon thirty (30) days' written notice. Exploreze may, in addition, suspend or terminate the Provider's access with immediate effect in the event of (i) breach of law, (ii) risk to customer safety, (iii) repeated poor reviews or unresolved complaints, (iv) fraudulent reviews or bookings, (v) disintermediation as defined above, or (vi) any conduct damaging Exploreze's reputation. Confirmed bookings existing at the time of termination shall be honoured by the Provider, unless the termination is grounded on safety.
12. Governing law, mediation and jurisdiction
This Agreement is governed by the laws of the Kingdom of Morocco, including the Code of Commerce (Law 15-95), the Code of Obligations and Contracts, Law 31-08 on consumer protection, Law 09-08 on personal data protection and any applicable tourism regulations. The parties undertake to seek an amicable settlement, if necessary through mediation before a Moroccan mediation institution, before initiating any legal proceedings. Failing amicable resolution, exclusive jurisdiction is granted to the competent courts of Agadir, Morocco, without prejudice to the mandatory rules of public international law.
